Commercial terms

1. Service and activation

currentQMS provides hosted quality-management, operations, and commerce software. The organization may configure its workspace after accepting an invitation. Recurring billing begins only when its live subscription is activated.

2. Subscription, setup services, and paid-order fee

The organization pays the monthly amount, any one-time implementation or data-migration charges, and the paid-order platform-fee percentage shown on its accepted order form. The platform fee is earned when an order payment succeeds and is not refunded when the underlying order is later refunded, disputed, or charged back. Taxes are additional when applicable.

3. Payment, grace period, and late fee

An unpaid recurring invoice receives the grace period shown on the order form. After that period, currentQMS may apply the stated late fee, subject to the maximum permitted by the contract and applicable law, and may limit new transactions or new record creation after notice.

4. Disputes and negative balances

The selling organization is responsible for customer disputes, chargebacks, refunds, dispute fees, negative balances, evidence, and recovery costs attributable to its transactions, plus the retained currentQMS platform fee. Stripe may technically debit either a connected account or the currentQMS platform depending on the charge model; the organization must reimburse amounts allocated to it under these terms.

5. Support

Customer support is provided by email at [email protected] during Monday–Friday, 8:00 a.m.–5:00 p.m. Central Time, excluding published holidays. Safety, security, data-integrity, signature, traceability, payment-allocation, and shipment-control incidents must be reported promptly.

6. Customer responsibilities

The organization controls its users, data accuracy, operating procedures, training, regulatory classification, validation decisions, product release, fulfillment, tax obligations for its own sales, and lawful use of the service. currentQMS does not make clinical, product-release, or regulatory decisions for the organization.

7. Cancellation, access, export, and retention

Cancellation does not erase required records immediately. currentQMS may place the workspace into read-only mode, provide a documented export period, and retain encrypted data for the period shown in the customer agreement. The organization remains responsible for exporting and retaining records for every legally required period. Data is not automatically destroyed without an approved retention disposition.

8. Changes

Material pricing or contract changes require a new versioned order form or amendment. Software corrections follow documented testing and change-control procedures, with customer Quality approval when a change affects the customer’s regulated intended use.

Contract package. The customer-specific order form, these commercial terms, the applicable privacy/data terms, and any separately signed validation or quality responsibility schedule form the commercial package. A conflicting signed amendment controls.
